Fax 703 657-0340 Flight Attendants, Cabin Attendants, and Cabin Manager Services Agreement This agreement between Professional Aviation Services,Inc., and __________________________ (referred to as "the Customer") provides for Flight Attendant, Cabin Attendant, and Cabin Manager services, for dates to be arranged seperately, on a project-by-project basis. Any Professional Aviation Services, Inc., Flight Attendant, Cabin Attendant, or Cabin Manager (referred to as "Flight Attendant") furnished, must conform to the requirements of the Customer's aircraft country of registration and the aircraft insurance policy. During the contract term, the Flight Attendant will perform his/her duties, at the direction of Professional Aviation Services, Inc. and its customer, in accordance with applicable FAR's, ICAO regulations when operating outside of US airspace, or the Civil Aviation regulations of the country within which the aircraft is operating, whichever is most restrictive. When operating non-US registered aircraft, license validation or endorsement, if required, will be the responsibility of the customer. Daily Flight Attendant services will be paid in advance by the customer, at the daily rates listed on the Professional Aviation Services website. Charges commence upon Flight Attendant dispatch from his/her home (domicile) and cease upon return to his/her home (domicile). Business class travel and accommodations are required for international assignments, economy class travel is acceptable for domestic assignments. Cancellation within 24 hours of scheduled Flight Attendant dispatch will result in a charge equal to the scheduled trip charge. The Flight Attendant shall not obligate Professional Aviation Services, Inc. nor incur expense without the agreement of Professional Aviation Services, Inc. and the customer. The customer will name Professional Aviation Services, Inc. and its Flight Attendants, as additionally insured, prior to dispatch. The customer agrees not to contract with nor hire any Professional Aviation Services, Inc., Flight Attendant for a period of nine months following the use of that Flight Attendant without the written consent of Professional Aviation Services, Inc. Breach of this contract shall result in payment to Professional Aviation Services, Inc. as liquidated damages the sum of a charge equal to the amount of contract or placement services had the Flight Attendant been provided by Professional Aviation Services, Inc. The customer agrees to waive the the right of subrogation and to hold Professional Aviation Services, Inc. harmless from losses, legal fees, and costs arising out of acts or omissions of the Flight Attendant while rendering his/her Flight Attendant services. In the event of any controversy or claim arising out of or relating to this Agreement, or any breach thereof, either party may submit the matter to final and binding arbitration before, and in accordance with, the Commercial Rules of the American Arbitration Association. If a demand is made for arbitration, this arbitration provision shall be deemed self-executing, and if either party fails to appear at any properly noticed arbitration proceeding, an award may be entered against that party notwithstanding the failure to appear. The arbitration shall be conducted in Fairfax County, Virginia. The laws of Virginia shall govern this transaction. The maximum duration of any single Flight Attendant service project shall be 90 days.
